Terms of Service

1. Who we are
Receiptly is a product of Receiptly Nigeria Ltd (“Receiptly”, “we”, “us”), registered with the Corporate Affairs Commission in Nigeria. We operate the digital receipt platform available on the web, iOS, and Android.
2. Acceptance
By creating an account, issuing a receipt, or verifying one through a shared link, you agree to these Terms. If you are using Receiptly on behalf of a business, you confirm that you have authority to bind that business.
3. Accounts
Merchants sign up with a Nigerian phone number and receive a Business Registration Identifier (BRI-ID). Buyers are created silently the first time a receipt is issued to their phone number and may claim that wallet by activating their account. You are responsible for keeping your device and PIN secure.
4. Our service
Receiptly issues cryptographically-signed receipts, stores them in the buyer's wallet, and exposes a public verification URL for each one. We do not process payments, we do not capture card data, and we are not a party to the underlying sale between merchant and buyer.
5. Your content
You retain ownership of the receipt content you issue. You grant Receiptly a licence to store, display, and transmit that content to the buyer of record and to anyone the buyer shares the verify link with. You represent that the content is accurate and does not describe an illegal transaction.
6. Acceptable use
You must not (a) issue receipts for transactions that did not happen, (b) attempt to guess another merchant's BRI-ID or impersonate them, (c) scrape the verification endpoints at a rate that disrupts the service, or (d) reverse-engineer our signing keys. Fraud attempts are logged and may be reported to the relevant authorities.
7. Fees
Core features are free during our beta. We will notify you at least 30 days in advance before charging for any feature you already use.
8. Suspension & termination
We may suspend or terminate accounts that violate these Terms, that fail merchant verification, or that we reasonably believe are being used for fraud. You may close your account at any time from settings; receipts already issued remain verifiable.
9. Warranty & liability
Receiptly is provided “as is” without warranties of any kind. To the maximum extent permitted under Nigerian law, our liability for any claim arising out of your use of the service is capped at the greater of ₦10,000 or the fees you paid us in the preceding twelve months.
10. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Lagos State.
11. Changes
We may update these Terms; we will post the new version here and, for material changes, notify you in-app or by email. Continued use of Receiptly after the effective date means you accept the update.
